You are free to use some or all your kudos for OVHcloud shares via FCPE OVHcloud Shares.
With your kudos, you make a voluntary payment in the FCPE OVHcloud Shares. The number of FCPE shares you receive will be calculated based on the market price on May 31, 2024.
In practice, OVHcloud will transfer to the FCPE an amount in currency equivalent to the number of kudos you wish to use to invest in the FCPE.
Unlike the employee share plan (ESP), you will not receive any matching contribution.
FCPE shares will not be subject to any lock-up period.

As there is no lock-up period, your assets remain accessible. You have the option to:
- Keep your assets for as long as you like;
- Request the payment of your assets in full or in part.
The subscription of FCPE units is made at the net asset value (NAV) of the FCPE on May 31, 2024. The NAV of the FCPE will be close to the market price of OVHcloud shares on the same date.
The number of units you will be allocated in the OVHcloud Shares FCPE will be determined at the end of the transaction based on the amounts invested and the net asset value of the OVHcloud Shares FCPE on May 31, 2024.
You will not know the price of at the time you choose to invest all or part of the proceeds from the exchange of your kudos.
EXAMPLE
1 kudos = 1 euro
I received 1,500 kudos, corresponding to the value of €1,500, before taxes & charges.
I have decided to invest the full amount in the FCPE OVHcloud Shares.
Tax and social contributions will apply on the amount of €1,500.
Assuming charges of 12% on the amount of €1,500 (€180) and 40% tax (€600).
OVHcloud is responsible for administration costs. Amounts are not blocked.
How much can be invested?
There is no minimum investment.
At maximum, you can invest all your kudos.
What are the risks?
The FCPE OVHcloud Shares will be invested almost exclusively in OVHcloud shares listed on Euronext Paris and is not guaranteed. The value of the unit will follow the OVHcloud share price upwards as well as downwards; if the share price falls, the value of the unit will follow a comparable decline. You are therefore exposed to a risk of capital loss.
OVHcloud makes available on the investor relations page of its website its universal registration document and other financial reports, which contain important information about the company's business, strategy and the risks associated with investing in OVHcloud shares.
Given the concentration of risk in FCPE OVHcloud shares's portfolio on the securities of a single company, we recommend that you assess the need to diversify the risk of your savings.
Regarding your assets
At the end of this offer, if you choose to invest in OVHcloud shares, you will hold unites of the OVHcloud Shares FCPE, which will in turn hold OVHcloud shares.
The OVHcloud share is listed on Euronext Paris.
As the OVHcloud Shares FCPE is invested almost exclusively in OVHcloud shares, the value of your assets will depend on the performance of the OVHcloud share: the daily value of the FCPE unit will follow the opening rate price of the OVHcloud share.
As long as you hold units of this FCPE, you will benefit from any dividends decided by the General Shareholders’ Meeting. These dividends will be invested automatically, free of charge in the fund and will increase your number of units.
